1. Scope and Acceptance

These Terms of Service (the “Terms”) are a legally binding agreement between you and the operator providing the OneSay Services (“OneSay,” “we,” “us,” or “our”). They govern your access to and use of the OneSay website, account services, released desktop application, related APIs, updates, support services, and associated features (collectively, the “Services”).

Please read these Terms and the OneSay Privacy Policy before creating an account or downloading, installing, accessing, or using the Services. By clicking to accept, creating an account, or using the Services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not create an account or download, install, access, or use the Services.

Provisions presented in bold, callout boxes, or another prominent format may materially affect your rights and obligations. If you have questions about them, contact support@onesay.io and request an explanation.

2. Eligibility

You must be at least 18 years old and legally capable of entering into these Terms and assuming the associated responsibilities.

OneSay is not offered to anyone under 18. If you are under 18, do not register for, access, or use OneSay, and do not submit personal information to us.

You must also ensure that applicable law does not prohibit you from receiving or using the Services. Some Services may be unavailable or restricted in certain countries, regions, devices, or platforms.

3. The Services and Beta Status

OneSay is a desktop product that uses voice and text as an interface. Current features may include:

  • Dictation: converting audio you actively submit into text and applying necessary refinement;
  • Translation: translating audio or text you actively submit into a target language;
  • Rewrite: rewriting selected text according to your instructions;
  • Ask: sending your question and relevant context to a third-party artificial intelligence provider and returning the provider-generated answer;
  • History, Dictionary, Insights, preferences, feedback, diagnostics, and related supporting features.

The Services are currently in Beta or early release. Features may be incomplete or unstable, produce errors or delays, lose results, or change. OneSay may add, modify, suspend, or discontinue Beta features, subject to any notice required by applicable law.

The currently released platforms are those identified on the OneSay website and download pages. As of the technical audit, the verified production release is for macOS. Windows-related code, downloads, or promotional references do not mean that a production Windows version is available.

4. Accounts and Security

Some Services require an account. You agree to:

  • provide accurate, complete, and current account information;
  • protect your password, login links, devices, and other credentials;
  • not share, sell, rent, or transfer your account;
  • be responsible for activity through your account, except where the activity results from OneSay’s fault or applicable law provides otherwise; and
  • promptly notify us if you discover unauthorized access, credential exposure, or another security incident.

Accounts may currently support email/password sign-in and Google OAuth. Third-party sign-in services are subject to their own terms and privacy policies. Signing out of OneSay may not revoke permissions granted through the third-party provider; you can manage those permissions in the relevant third-party account.

5. Device Permissions and User-Initiated Processing

To provide core features, OneSay may request microphone, accessibility, input-monitoring, global-shortcut, notification, and background-operation permissions.

The product should capture and process audio only after you actively start the relevant voice feature for that interaction. Merely installing or opening the application does not cause OneSay to continuously record ambient audio. Input monitoring is used to recognize OneSay shortcut gestures and is not used to upload your complete keystroke content.

When you initiate Rewrite, Ask, or text-insertion features, OneSay may read selected text, active-application information, control or window descriptions, expression context, and may temporarily use the clipboard to insert the result. Review the system permission prompts before granting access. You can manage permissions in your operating-system settings, although revoking a core permission may prevent the corresponding feature from working.

6. Third-Party Speech, Text, and Other Content

OneSay cannot determine whether speech, selected text, clipboard data, nearby text, or other context you submit belongs to another person.

You may submit only content that you have the right to process. If content includes another person’s voice, communications, personal information, confidential information, workplace materials, or intellectual property, you are responsible for obtaining any authorization, consent, or other lawful basis required before submission and for complying with applicable recording, communications secrecy, privacy, and confidentiality laws.

Unless applicable law clearly permits it, you must not use OneSay to record, transcribe, translate, rewrite, or analyze another person’s speech or content without their knowledge or consent.

7. Important Risks of Artificial Intelligence Features

Important: Dictation, Translation, Rewrite, Ask, and other artificial intelligence features may produce information that is inaccurate, incomplete, outdated, fabricated, biased, or unsuitable for your circumstances. An output that appears specific, fluent, or confident is not necessarily true, accurate, complete, or human-reviewed.

7.1 Source of Ask Answers

Answers from Ask are generated by a third-party artificial intelligence provider using your question, selected text, expression context, optional external-search results, and other necessary input. OneSay provides the invocation, transmission, orchestration, display, and insertion functions, but should not be understood as the original author, fact-checker, or professional reviewer of the answer.

The third-party model may lack the full context, confuse facts, dates, people, or sources, and provide citations, links, or conclusions that do not exist. External-search results may also be inaccurate, incomplete, outdated, or controlled by third parties.

7.2 Outputs Do Not Represent OneSay

AI-generated answers, recommendations, summaries, translations, rewrites, and other outputs do not represent OneSay’s views, position, promise, warranty, endorsement, or professional advice. Unless OneSay expressly confirms something in a formal written communication, an output must not be treated as OneSay’s factual statement, contractual commitment, or decision.

You are generally responsible for how you interpret, use, publish, send, or rely on an AI output and for decisions you make based on it. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

7.3 Your Duty to Verify

Before using or relying on an AI output, you must perform reasonable independent verification appropriate to the context, including checking original materials, reliable sources, dates, data, citations, names, professional requirements, and applicable rules. You must not assume an answer is correct merely because it is clear, detailed, or consistent with your expectations.

Do not use AI output as the sole basis for medical, mental-health, legal, financial, tax, insurance, employment, admissions, safety, personal-rights, or other high-impact decisions. In those situations, consult an appropriately qualified professional and retain meaningful human judgment.

7.4 People and Situations for Which Ask Is Not Suitable

If you cannot independently assess and verify information or understand the consequences of using it, or if your use case does not allow errors to be reviewed by a person, do not use Ask. If you are likewise unable to reasonably assess outputs from OneSay’s other AI features, do not use OneSay.

8. User Content and Output

“User Content” includes audio, text, selected text, questions, instructions, dictionaries, preferences, context, feedback, and other material you submit to or cause the Services to process. “Output” includes transcripts, translations, rewrites, answers, and other results generated or returned in response to User Content.

You retain the rights you lawfully hold in User Content. To operate, maintain, protect, and improve the Services, you grant OneSay a worldwide, non-exclusive, royalty-free license, limited to what is necessary, to host, copy, transmit, transform, and process User Content. OneSay and processors acting on our behalf may exercise this license only to provide the Services, protect their security, handle feedback you voluntarily submit, comply with law, or act within another scope to which you separately and expressly agree.

The current product design does not show a production path by which OneSay uses user audio, transcripts, selected text, questions, or answers to train OneSay-owned models. Unless we separately provide a clear explanation and obtain any legally required express consent, OneSay will not use that content to train its own AI models. This statement is not a “zero retention” or “no training” warranty on behalf of third-party AI providers. Their processing boundaries are described in the OneSay Privacy Policy and applicable provider arrangements.

To the extent permitted by applicable law, you may use Output generated for you. AI output may not be unique, and other users may receive identical or similar output. OneSay does not warrant that Output qualifies for copyright, patent, or other intellectual-property protection or that it does not implicate third-party rights. You are responsible for appropriate review before publishing or commercially using Output.

9. AI-Generated Content Labels

Where required by applicable law, OneSay will display or attach AI-generated or synthetic-content labels in feature interfaces, near Output, in exported content, or in file metadata. A label may use text such as “AI-generated” or “Generated by third-party AI,” a generally recognized symbol, an interface notice, or legally applicable file metadata. You must not maliciously remove, alter, forge, conceal, or circumvent any label that applicable law requires to be retained.

When you copy, export, publish, or distribute AI-generated or synthetic content, you must declare its generated nature and use any labeling functions required by applicable law or the destination platform. A notice shown by OneSay does not replace obligations that apply to your subsequent publication or distribution.

10. Acceptable Use

You must not use the Services, or assist another person, to:

  • violate applicable law, regulatory requirements, court orders, or another person’s lawful rights;
  • process another person’s speech, communications, personal information, trade secrets, or confidential materials without authorization;
  • infringe copyright, trademark, patent, personality, privacy, or other rights;
  • create, distribute, or facilitate fraud, impersonation, phishing, malware, spam, or clearly unlawful content;
  • create, store, or distribute child sexual abuse material or content that exploits minors;
  • incite violence, hatred, or discrimination, or harass, threaten, or harm another person;
  • use AI output directly for high-impact automated decisions without meaningful human review;
  • falsely claim that AI output was created entirely by a human, reviewed by OneSay, or endorsed by OneSay;
  • maliciously remove, forge, or circumvent an AI-generated-content label;
  • circumvent security, authentication, quotas, rate limits, or access controls;
  • probe, scan, attack, interfere with, or disrupt the Services, network, or other users;
  • reverse engineer, decompile, or attempt to extract source code, models, algorithms, or non-public interfaces, except where applicable law expressly permits it;
  • scrape the Services, create accounts in bulk, resell the Services, or use Output to train a competing AI model without written permission; or
  • commit payment, credit, redemption-code, referral, entitlement, or account fraud.

11. Free Beta, 90-Day Pro, and Benefits

The current version does not offer production paid purchases or automatically renewing subscriptions. Eligible new users may receive a one-time 90-day Pro benefit:

  • it does not renew automatically and ends when the period expires;
  • each eligible user may generally receive it only once;
  • it is not stored value, cash, a deposit, a security, or a withdrawable asset;
  • unless specific promotion rules say otherwise, it may not be sold, transferred, exchanged for cash, or obtained through duplicate registrations or similar abuse;
  • the name “Pro” does not create a service-level agreement, availability commitment, or professional warranty; and
  • to the extent permitted by law, OneSay may modify or stop future Beta benefits that have not yet been issued, but will not retroactively cancel a benefit lawfully obtained and still within its valid period, except where law requires otherwise or the user has engaged in fraud, abuse, or unlawful conduct.

Credits, redemption codes, and referral benefits are governed by the rules displayed when they are obtained or redeemed. Payment, withdrawal, cash-commission, purchase, or refund capabilities that are not currently enabled do not constitute a commitment that OneSay offers those services.

If OneSay later offers paid services, automatic renewal, or app-store purchases, we will disclose prices, billing periods, renewals, cancellation, taxes, and refund terms before charging and will update these Terms when necessary.

12. Software License, Updates, and Open Source

Subject to compliance with these Terms, OneSay grants you a revocable, limited, non-exclusive, non-transferable, and non-sublicensable license to install and use the released OneSay client solely on a compatible device that you own or control.

The Services may automatically check for and install security, stability, or feature updates. Some updates may be required for continued use. You must not remove rights notices, circumvent update-integrity checks, or distribute a modified client.

Open-source components are governed by their respective licenses. If an open-source license conflicts with these Terms, that license controls for the relevant component.

13. Third-Party Services

The Services rely on third-party infrastructure, speech recognition, artificial intelligence, sign-in, analytics, email, monitoring, content sources, update distribution, and other services. Current providers may include Alibaba Cloud and Bailian/DashScope, Google, Sentry, Resend, and Apple.

Third-party services may become unavailable, be delayed or changed, or return erroneous results, and they may process information under their own terms. OneSay does not control every aspect of third-party services and makes no promise about them beyond what applicable law or OneSay’s effective agreement with that provider permits.

Using a provider does not relieve OneSay of obligations imposed on it by law. See the OneSay Privacy Policy for information about recipients, purposes, and cross-border processing.

14. Feedback

You may voluntarily submit suggestions, issues, and feedback. You grant OneSay a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, analyze, and implement feedback within a reasonable scope that does not identify you, for customer support, issue resolution, and product improvement.

Unless we separately explain otherwise and obtain any consent required by law, audio, complete transcripts, questions, or answers included in voluntary feedback will not be used to train OneSay-owned AI models. Do not include passwords, complete access tokens, payment-card information, or unrelated sensitive content in feedback.

15. OneSay Intellectual Property

The Services and their software, interfaces, branding, trademarks, designs, documentation, code, and related technology are owned by OneSay or its licensors and are protected by applicable intellectual-property law. Except for the limited license expressly granted in these Terms, no rights in the Services themselves are transferred to you.

You must not use the OneSay name, trademarks, or branding without written permission in a way that suggests partnership, endorsement, or affiliation.

16. Changes, Availability, and Interruptions

OneSay will make reasonable efforts to maintain the Services but does not promise that they will always be continuous, timely, error-free, free of security defects, or suitable for your particular purpose. Maintenance, networks, providers, device permissions, operating-system updates, force majeure, legal requirements, or Beta changes may interrupt the Services.

We may modify, limit, suspend, or discontinue part of the Services. If a change materially and adversely affects your principal rights, we will provide notice through the website, an in-app notice, your account email, or another reasonable method to the extent required by applicable law.

17. Suspension and Termination

You may stop using the Services, sign out, or request account deletion using available product methods at any time.

We may limit, suspend, or terminate an account or feature if we reasonably believe that you violated these Terms, engaged in fraud or abuse, harmed the Services or another person, created legal or security risk, or if law requires us to act. Except in an emergency, where notice is legally prohibited, or where notice would impede an investigation, we will attempt to provide a reasonable explanation.

Account termination does not mean that local, server, log, backup, and third-party data is deleted simultaneously. See the OneSay Privacy Policy for deletion scope, retention exceptions, and steps available to you.

Provisions that by their nature should survive termination remain effective, including intellectual property, responsibility for User Content, disclaimers, limitations of liability, dispute resolution, and other provisions that law requires to survive.

18. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available.” OneSay does not warrant that AI output, transcripts, translations, rewrites, answers, sources, or other results are accurate, complete, current, unique, non-infringing, or suitable for a particular purpose.

OneSay does not warrant uninterrupted or error-free operation, that local data will never be lost, or that the Services will be unaffected by providers or network conditions. Keep source materials and appropriate backups for important content, and check results before sending or publishing them.

Nothing in these Terms excludes non-excludable statutory warranties or consumer rights, or OneSay’s liability for intentional misconduct, gross negligence, personal injury, fraud, or any other matter for which liability cannot lawfully be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, OneSay is not responsible for avoidable loss caused by your failure to verify AI output, unauthorized processing of another person’s content, violation of these Terms, or misuse of the Services.

OneSay is liable for indirect, incidental, special, or consequential loss arising from service interruption, third-party services, data loss, erroneous output, or inability to use the Services only to the extent that applicable law permits such liability to be limited.

The current Services are provided free of charge. Where the law permits a monetary cap, OneSay’s aggregate liability arising from the current free Services will not exceed the fees you actually paid directly to OneSay for the Services during the twelve months before the event giving rise to the claim. If you paid no fees, this wording does not affect liability that cannot be limited or mandatory consumer rights available to you.

This section must be interpreted consistently with applicable law and must not be read to unreasonably exclude or reduce OneSay’s legal responsibilities, increase your responsibilities, or deprive you of principal rights.

20. User Responsibility

If your violation of applicable law, infringement of third-party rights, unauthorized submission of third-party content, or malicious abuse of the Services causes direct loss to OneSay established by a final legal decision, settlement, or reasonable evidence, you are responsible for that loss to the extent permitted by law.

This section does not require a consumer to assume liability that the law does not impose or limit statutory consumer rights.

21. Privacy and Data Protection

The OneSay Privacy Policy describes the personal information we process, purposes, recipients, local History and audio practices, cross-border processing, retention and deletion, cookies and analytics, and your rights. Read it before using the Services.

22. Changes to These Terms

We may update these Terms because of changes to features, technology, providers, law, or commercial status. We will update the “Last updated” date.

If a change materially affects your rights or obligations, we will provide prominent notice through the website, in-app notice, account email, or another reasonable method and obtain renewed consent where required by law. Changes generally will not apply retroactively.

If you do not accept updated Terms, stop using the Services and close your account using available product methods. Continuing to use the Services after the effective date means that you accept the updated Terms, except where applicable law requires separate consent.

23. Governing Law and Disputes

The formation, validity, interpretation, performance, and dispute resolution of these Terms are governed by the laws of mainland People’s Republic of China, excluding conflict-of-law rules.

The parties should first attempt to resolve a dispute relating to these Terms or the Services by contacting support@onesay.io. If the dispute is not resolved, either party may bring proceedings before a competent People’s Court at the domicile of the OneSay service operator.

If mandatory law in your place of residence gives you non-waivable consumer rights or dispute-resolution routes, this section does not exclude them.

24. General Terms

These Terms, the OneSay Privacy Policy, and any promotion rules expressly incorporated into them form the complete agreement regarding the current Services. If promotion rules conflict with these Terms, the specific rules displayed for that promotion control, subject to mandatory law.

If a provision is held invalid or unenforceable, the remaining provisions continue in effect. The affected provision will be interpreted, to the extent permitted, in a way that most closely reflects its lawful purpose.

OneSay’s failure to immediately enforce a right is not a waiver. You may not assign your rights or obligations under these Terms without OneSay’s written consent. If OneSay assigns these Terms in connection with a merger, reorganization, or business transfer, it will provide notice and protect your lawful rights as required.

If the Chinese and English versions conflict, the Chinese version controls to the extent permitted by applicable law.
